Terms and Conditions
These terms and conditions apply to all services and agreements of SpySecure, based in Amsterdam, registered with the Dutch Chamber of Commerce under number 87334542. By using our services, you agree to these terms.
1. General
SpySecure provides high-quality cybersecurity services that make use of technologies and products from carefully selected third parties (suppliers). While we make every effort to support our customers, we cannot accept responsibility for the quality, performance, or availability of these technologies and products, including aspects such as uptime and service levels.
Our services are designed to significantly reduce the risks of cyberattacks. However, just as traditional security systems can never fully guarantee protection against break-ins or theft, we cannot provide absolute protection against cyber threats.
2. Definitions
Customer: any natural person or legal entity that enters into an agreement with SpySecure to purchase services, not being a partner.
Agreement: the agreement entered into between SpySecure and the customer regarding the delivery of services, including these terms and conditions.
Services: all cybersecurity services, software and related support provided by SpySecure to the customer.
License: the non-exclusive, non-transferable and non-sublicensable right of use to access and use the software and services provided by SpySecure during the term of the agreement, without any transfer of ownership.
A license includes:
– one endpoint (including a workstation, laptop, mobile phone, server or other end-user device), and
– one user account within a cloud or identity environment such as Microsoft 365 or Google Workspace.
When determining the number of licenses, the following applies:
– each paid user account is considered one account;
– email aliases linked to an existing account are not considered separate accounts;
– shared accounts are considered separate accounts if they are billed by Microsoft or Google as a paid account;
– each endpoint that is separately secured or managed requires one license.
SpySecure is entitled to adjust the number of licenses if actual usage differs from the agreed number.
3. Applicability
These terms apply to all offers, agreements and deliveries by SpySecure, unless otherwise agreed in writing.
Deviations are only valid if recorded in writing and accepted by both parties.
4. Quotations and agreements
All quotations are non-binding, unless explicitly stated otherwise.
An agreement becomes effective after the customer places an order or assignment and SpySecure confirms it in writing or electronically.
5. Prices and payment
All prices are exclusive of VAT, unless stated otherwise.
Invoices must be paid within 14 days of the invoice date, unless payment is made via direct debit or credit card for subscriptions.
In case of late payment, SpySecure reserves the right to charge statutory interest and collection costs.
SpySecure is entitled to increase prices annually based on rising operational costs, market developments and any cost increases from suppliers or used technologies. This adjustment will be at most 7% per year, unless otherwise agreed in writing. A lower or no adjustment does not limit the right to apply an adjustment again in a subsequent year.
6. Use of services
During the term of the subscription or agreement, SpySecure grants the customer a license as described in Section 2. The customer acquires a right of use only and does not become the owner of the software and related components.
Misuse or unlawful use of the services is prohibited and may result in immediate termination of the agreement.
7. Cancellation
No statutory right of withdrawal applies to agreements between SpySecure and business customers. The customer may cancel an agreement free of charge until onboarding has started or licenses (as defined in Section 2) have been activated. After license activation or the start of onboarding, cancellation is no longer possible.
8. Complaints and disputes
Complaints must be reported in writing within 7 days of discovery via contact@spysecure.nl.
These terms are governed exclusively by Dutch law. Disputes will be submitted to the competent court in the Netherlands.
9. Liability
SpySecure is not liable for issues, outages or damage caused by technology or software from third-party suppliers that form part of our services.
SpySecure is not liable for direct or indirect damage caused by cyberattacks, data theft, identity fraud or other forms of cybercrime. Although we strive for the highest possible level of security, complete protection against cyber threats is not possible.
10. Service levels
Unless expressly agreed in writing, SpySecure provides its services on a best-efforts basis. No guarantees are given regarding specific performance, response times or uptime.
11. Changes to used technologies
SpySecure reserves the right to change used software, tools or suppliers if necessary for continuity, security or improvement of the services. SpySecure will aim for functionally equivalent or better alternatives.
12. Term and renewal
Subscriptions are automatically renewed for the same term as the original period, unless the customer cancels in writing no later than 30 days before the end of the term.
13. Privacy and data protection
SpySecure processes personal data in accordance with its privacy policy. The privacy policy can be found at htttps://www.spysecure.nl. Where applicable, the parties will enter into a data processing agreement in accordance with the GDPR.
14. No legal advice
SpySecure does not provide legal advice and does not guarantee compliance with laws or regulations. Advice and reports are provided solely to support the customer and do not constitute a legally binding assessment.
15. Force majeure
SpySecure is not liable for failures resulting from circumstances beyond its control, including outages at suppliers, network issues, cyberattacks on third parties, or other unforeseen incidents.
16. Assignment
The customer may not assign rights or obligations under the agreement to third parties without SpySecure’s prior written consent.
17. Changes to these terms
SpySecure reserves the right to change these terms. Customers will be informed in advance of material changes.
